These terms and conditions of use ("Terms of Use" or "Terms") of the website www.prolance.co.in and instances thereof, including any and all related mobile applications ("Website") between Prolance Services Pvt Ltd, a company incorporated under the Companies Act, 1956 ("Company" or "Prolance" and its successors and assigns also a "company" under the Companies Act, 2013) and the users of the Website ("You" or "Your" or "Yourself" or "User") describe the terms on which the Company offers You access to the Website and its related services.

PLEASE READ THE TERMS CAREFULLY BEFORE USING, VIEWING, ACCESSING OR REGISTERING ON THE WEBSITE OR ACCESSING ANY MATERIAL, INFORMATION OR SERVICES THROUGH THE WEBSITE. YOUR USE OF THE WEBSITE OR THE SERVICES PROVIDED BY THE WEBSITE SHALL SIGNIFY YOUR UNCONDITIONAL ACCEPTANCE OF THE TERMS AND YOUR AGREEMENT TO BE LEGALLY BOUND BY THE SAME.

1. GENERAL

1.1. The Website is an Internet-based portal owned and operated by Prolance Services Pvt Ltd. Use of the Website is offered to You subject to acceptance of all the terms, conditions, and notices contained in these Terms, along with any amendments made by the Company and posted on the Website, including by way of imposing any charge for access to or use of a Service (defined below). By (i) using this Website or any facility or service provided via this Website in any way; or (ii) merely browsing the Website, You agree that You have read, understood, and agreed to be bound by these Terms and the Privacy Policy available on the homepage.

1.2. The Company reserves the right to update or modify these Terms from time to time. The revised Terms shall be made available on the Website. While Prolance will make reasonable efforts to inform Users of material updates via email or prominent website notice, it remains Your responsibility to check the Terms periodically for updates. Your continued use of the Website following the posting of changes constitutes Your binding acceptance of such changes.

2. ELIGIBILITY TO USE

2.1. In India, persons under 18 years of age are minors. You must be at least 18 (eighteen) years of age to use the Website, request design consultations, or purchase any Products or avail any Services through the Website. You represent that You are of legal age to form a binding contract and are not a person barred from purchasing Products or receiving Services under applicable laws.

2.2. The Company reserves the right to refuse access to the Website, and/or purchase of any Products and/or use of the Services offered at the Website to new Users or to terminate access granted to existing Users at any time for any reason or without providing any reasons.

3. USER ACCOUNT, PASSWORD, AND SECURITY

3.1. The Company may make the Products, Design Tools, and/or Services available to You only if You have provided Prolance certain required User information and/or created an account ("Account") through a Prolance ID and password or other log-in credentials (collectively, the "Account Information"). The sale of Products and/or Services may also be subject to procedures for use of the Website, uploaded guides, rules, project milestone terms, additional terms of service, or other disclaimers & notices ("Additional Terms"). If there is any conflict between these Terms of Use and the Additional Terms, the Additional Terms shall take precedence in relation to those specific Products or Services.

3.2. You will be responsible for maintaining the confidentiality of the Account Information, and are fully responsible for all activities that occur under Your Account. You agree to (a) immediately notify Prolance of any unauthorized use of Your Account Information or any other breach of security, and (b) ensure that You exit from Your Account at the end of each session. In the absence of such notification from You, any transaction or order made on the Website through Your Account shall be binding on You. Prolance cannot and will not be liable for any loss or damage arising from Your failure to comply with these conditions.

3.3. You shall ensure that the Account Information provided by You is complete, accurate, and up-to-date. Use of another user's Account Information for availing the Services is expressly prohibited.

3.4. If You provide any information that is untrue, inaccurate, not current, or incomplete, or Prolance has reasonable grounds to suspect such, Prolance has the right to suspend or terminate Your Account and refuse any and all current or future use of the Website.

4. PRICING, ESTIMATES, AND PAYMENT TERMS

4.1. Pricing for interior design, hub services, automation, and manufacturing support depends on the specific project scope, customized specifications, and services requested. All preliminary calculations, online cost estimators, and digital quotes provided on the Website are indicative and subject to final site measurements, engineering validation, and material choices.

4.2. You agree to provide correct and accurate credit / debit card / net banking / UPI / e-wallet details to approved payment gateways for purchasing any Products and/or availing Services. You shall only use payment methods lawfully owned by You. The information provided will not be shared with any third party unless required for fraud verification or by law/court order. Prolance expressly disclaims all liabilities that may arise as a consequence of any unauthorized use of Your payment details.

5. INTERIOR DESIGN & PROJECT EXECUTION PROVISIONS

5.1. Design Concepts & IP: All design proposals, 3D renders, CAD drawings, cut-lists, floor plans, material specifications, and estimates generated by or through Prolance remain the exclusive intellectual property of Prolance. These assets are provided solely for execution through Prolance or its authorized partners, and may not be copied, reproduced, or transferred to third-party contractors without explicit written authorization.

5.2. Site Access & Client Cooperation: For services involving physical site measurements, delivery, or installation, You agree to provide safe, timely, and unobstructed site access, as well as necessary site utilities (including working electricity and water supply). Prolance shall not be held liable for project delays resulting from restricted access, unapproved structural modifications, or delayed approvals from the client or building authorities.

6. USER OBLIGATIONS & CONDUCT

6.1. Subject to compliance with the Terms of Use, Prolance grants You a non-exclusive, limited privilege to access and use this Website.

6.2. You agree to use the Website and the materials provided therein only for purposes permitted by: (a) the Terms; and (b) any applicable law, regulation, or generally accepted practices or guidelines.

6.3. You agree not to access (or attempt to access) the Website, materials, or Services by any means other than through the interface provided by Prolance. You shall not use any deep-link, robot, spider, or other automatic device, program, algorithm, or methodology, or manual process, to access, acquire, copy, or monitor any portion of the Website or Content.

6.4. You agree not to engage in any activity that interferes with or disrupts access to the Website (or the servers and networks connected to the Website), or probe/test the vulnerability of the Website or any connected network.

7. INTELLECTUAL PROPERTY RIGHTS

7.1. The Website and its processes, selection, and arrangement, including all text, graphics, user interfaces, 3D assets, design software templates, artwork, and computer code (collectively, the "Content") are owned and controlled by Prolance and protected by copyright, patent, trademark laws, and other intellectual property rights.

7.2. The trademarks, logos, and service marks displayed on the Website ("Marks") are the property of Prolance Services Pvt Ltd. You are not permitted to use the Marks without the prior written consent of Prolance.

8. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

8.1. Maximum Extent of Law: YOU EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, SERVICES, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

8.2. Indemnification: You shall indemnify, defend, and hold harmless Prolance, its directors, officers, employees, and agents from and against any losses, liabilities, claims, damages, costs, and expenses arising out of Your breach of these Terms or violation of applicable laws.

8.3. Limitation of Liability: IN NO EVENT SHALL PROLANCE, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING LOSS OF USE, DATA, OR PROFITS). NOTWITHSTANDING ANYTHING TO THE CONTRARY, PROLANCE’S ENTIRE LIABILITY TO YOU SHALL BE LIMITED TO THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE IN CONNECTION WITH WHICH THE CLAIM AROSE.

8.4. Material & Finish Variations: Natural variations in wood, stone, veneers, laminate finishes, fabric dye lots, and digital screen color calibrations mean that actual physical finishes and installed elements may have minor variations from digital 3D renders or website sample images. Prolance disclaims liability for minor natural or manufacturing variations that fall within acceptable industry standards.

9. TERMINATION

9.1. These Terms will continue to apply until terminated by either You or Prolance. You may terminate by closing Your Account and discontinuing use of the Website.

9.2. Prolance may, in its sole discretion and without prior notice, terminate or suspend Your access to the Website or Services if it determines You have violated these Terms, applicable regulations, or if provision of Services becomes commercially unviable.

10. GOVERNING LAW & JURISDICTION

10.1. These Terms, all transactions, and the legal relationship between You and Prolance shall be governed in accordance with the laws of India without reference to conflict of laws principles.

10.2. All claims, disputes, and differences arising out of or in connection with the Website or Terms shall be subject to the exclusive jurisdiction of the courts at Bangalore Urban District, Karnataka, India.

11. PRIVACY & DATA PROTECTION

11.1. Your privacy is important to us. Prolance collects, processes, and stores personal and project data in compliance with the Digital Personal Data Protection (DPDP) Act, 2023 and applicable Indian data protection guidelines. By accessing the Website, You consent to such processing as detailed in our Privacy Policy.

12. COMMUNICATIONS & NOTIFICATIONS

12.1. By registering or providing Your phone number and email address, You expressly consent to receive administrative, transactional, and service-related communications from Prolance via Email, SMS, WhatsApp, or phone calls, in compliance with applicable TRAI DLT regulatory framework guidelines. You may opt out of promotional newsletters at any time using the unsubscribe instructions provided in such messages.
